Company Agreement

This agreement governs the relationship between your company and EstatePartners. By registering, your authorised representative accepts these terms on behalf of the company.

1. Platform Usage

You agree to use the platform only for legitimate business purposes and in compliance with applicable laws. Any form of misuse, including but not limited to fraudulent listings, misrepresentation of agents, or manipulation of commission structures, is strictly prohibited and may result in immediate suspension.

2. Responsibility of Company

You are responsible for all users under your company, including Admins and Agents, and their actions on the platform. This includes ensuring that all agents are properly onboarded, that commissions are tracked accurately, and that any bookings submitted reflect genuine transactions.

The company is jointly liable for any violations, disputes, or financial obligations arising from the actions of its registered users.

3. Data Usage & Compliance

You agree not to misuse, share, or export data without authorization and to comply with applicable data protection laws, including the Information Technology Act and relevant privacy regulations in India.

Data you and your users submit or generate on the Platform is processed to deliver the Service. You retain rights in your business data subject to the licence and processing terms in your agreements with us and our Privacy Policy. You must not use such data for purposes outside legitimate operation of your real-estate partner business on the Platform.

4. Payment Terms

Subscription and platform fees, payment due dates, and consequences of non-payment are as set out on your invoices, order form, our Terms & Conditions, and this Agreement. Late or unpaid amounts may result in restricted access or suspension where permitted by law.

Current standard plans (summary): the unlimited company subscription is a one-time fee of 99,999 excluding GST, plus 18% GST on the subscription amount at purchase (subject to any Super Admin–approved discount). The platform fee is invoiced monthly and uses marginal rates on cumulative SOLD as listed in section 6 below. If your order form differs, the order form and invoice control.

Platform fees are typically invoiced monthly based on qualifying SOLD activity. In-app notifications may alert you to invoice events (for example when an invoice is generated or released).

Non-payment and access. If the Company fails to pay amounts when due to EstatePartners (including subscription or platform fees charged under an invoice), and payment is not received within four (4) working days (Monday to Friday, excluding public holidays as practicable) from the due date stated on the applicable invoice—or, if no due date is stated, within four (4) working days from the invoice generation date—EstatePartners may, without prejudice to other remedies, suspend or withdraw access to the Company's account and the Platform for that tenant until amounts are settled or alternative arrangements are agreed in writing.

5. Commission plans (your configuration)

Your company defines commission economics on the Platform: you configure commission plans (including multi-level structures, percentages, eligibility rules, and optional royalty or pool settings as the product allows). Plans may be versioned and published so that calculations follow the active plan for your tenant. A default template may propose a multi-level ladder (for example seven levels)—that template is a starting point, not a cap on how many levels or rules you may define where the product supports it.

EstatePartners provides the software to model, calculate, and record commissions; you remain responsible for the commercial terms, legality, and internal payout policies you apply to your agents and partners, consistent with applicable law and your agreements with them.

6. Platform Fees

You agree to pay applicable subscription and platform fees. The subscription is currently an unlimited company plan (LARGE_ENTERPRISE / Unlimited): 99,999 one-time excluding GST, plus 18% GST on the subscription amount (unless your order form states otherwise or a discount applies).

The platform fee uses marginal rates on cumulative SOLD for your Company. The current marketing bands are:

  • 0.5% on cumulative SOLD up to ₹25 Cr
  • 0.3% on the cumulative SOLD portion above ₹25 Cr up to ₹100 Cr
  • 0.25% on cumulative SOLD above ₹100 Cr

GST (18%) is applied on the platform fee line item and shown separately on your invoice. Monthly invoices reflect the fee attributable to that period.

7. Misuse & Violations

The platform may suspend or restrict access in case of misuse or policy violations. This includes, but is not limited to:

  • Submitting false property listings or fabricated bookings
  • Unauthorised extraction or sharing of platform data
  • Circumventing commission structures or referral tracking
  • Adding agents without valid onboarding documentation
  • Any action that harms other users or the platform's integrity

8. Termination

Access may be suspended or terminated for violations or non-payment. EstatePartners will provide reasonable notice where possible; however, in cases of serious violation, access may be revoked immediately without prior notification.

Upon termination, all outstanding invoices remain payable. Data export requests must be submitted within 30 days of termination; thereafter, data may be permanently deleted.

9. Agreement Acceptance

By proceeding, you confirm that you are authorised to act on behalf of your company and that you accept this agreement in full. This acceptance is legally binding on your company and constitutes a valid electronic signature under applicable law.

Your acceptance is recorded with a timestamp, IP address, and user-agent for audit purposes. This record serves as proof of acceptance and may be produced in legal proceedings if required.

Legally Enforceable Record

This agreement is recorded in our system as version v1.2. The record includes your acceptance timestamp, IP address, and browser information. This constitutes a valid and enforceable electronic agreement under the Information Technology Act, 2000 (India).
